
A leading law firm is seeking an experienced Fund Formation Senior Paralegal to provide high-level paralegal support for attorneys and senior paralegals in venture fund and emerging company matters. This role is ideal for a detail-oriented professional with 5+ years of paralegal experience, strong organizational skills, and a passion for corporate and fund formation work.
What You’ll Do:
Assist with all aspects of emerging company and venture fund work, including preparation and maintenance of organizational documents, partnership/LLC agreements, side letters, transfer agreements, and admission agreements.
Conduct investor suitability due diligence and review documents for fund formation matters.
Conduct research on Federal and State securities regulations and assist with SEC compliance reporting for venture fund clients.
Prepare and file requisite notices, conduct due diligence reviews, and assist with preparation of opinions and backup documentation.
Complete time sheets, e-timelogs, and other administrative tasks in a timely manner.
Perform additional duties as assigned to support attorneys and the fund formation team.
What You’ll Bring:
Bachelor’s degree required; Paralegal Certificate preferred.
Minimum 5 years of paralegal experience, ideally in Fund Formation.
Ability to work independently and as part of a team in a fast-paced environment, manage multiple supervisors, and meet deadlines.
Proficiency in Microsoft Office, iManage, and other firm applications.
Strong organizational, communication, and proofreading skills with exceptional attention to detail.
Professionalism, reliability, initiative, and ability to handle sensitive client matters.
