
A leading law firm in New York is seeking a skilled Corporate Paralegal to provide support on corporate maintenance and complex transactions for private and public company clients. What You’ll Do:
Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.
Coordinate closings and prepare transaction documents.
Draft and file corporate and securities filings and assemble legal opinions with back-up documentation.
Organize corporate records, maintain capitalization tables and stock certificates, and conduct due diligence reviews.
Research Blue Sky issues and prepare required filings.
Provide training and guidance to case assistants and junior paralegals.
Perform additional tasks as assigned to support attorneys and the corporate team.
What You’ll Bring:
Bachelor’s degree required.
3+ years of transactional experience in Private Equity, Capital Markets, or M&A preferred.
Proficiency in Microsoft Office, advanced Excel knowledge preferred.
Strong organizational skills, attention to detail, and ability to handle multiple priorities.
Ability to maintain confidential information with discretion.
Familiarity with Carta, Shareworks, or similar equity tracking systems is a plus.
Law firm experience preferred; available to work overtime as required.
